These Terms and Conditions govern the use of the EXPRE Digital website and the provision of services by EXPRE Digital Limited ("EXPRE", "we", "us"). By using our website or engaging our services, you agree to these terms.

These terms apply to all visitors to our website and all clients who engage EXPRE for services. If you do not agree to these terms, you should not use our website or engage our services.

Our services are directed to businesses and professional clients, not consumers. If you are a consumer (an individual acting outside the course of any trade or profession), you should contact us before using our services as different statutory rights may apply under the Consumer Rights Act 2015.

Use of This Website

You may use this website for lawful purposes only. You must not use the website in any way that breaches applicable laws or regulations, in any way that is fraudulent, deceptive, or harmful, to transmit unsolicited commercial communications, to upload or share content that is illegal, defamatory, obscene, or hateful, or to attempt to gain unauthorised access to any part of the website or its underlying systems.

In accordance with the Online Safety Act 2023, you must not upload, post, or transmit content that constitutes illegal content as defined by that Act, including content that facilitates serious harm. We reserve the right to remove any such content and report it to the relevant authorities.

While we take care to ensure the accuracy of information on this website, we do not guarantee that content is accurate, complete, or current. Information on this website is for general guidance only and does not constitute professional advice.

You must not misuse our website by knowingly introducing viruses, trojans, or other malicious code. Any such action may constitute a criminal offence under the Computer Misuse Act 1990, and we will report breaches to the relevant authorities.

Our Services

EXPRE provides digital marketing, web development, SEO, AI integration, and related digital services to businesses. The specific services, deliverables, timeline, and fees for any engagement are set out in a separate Statement of Work or Service Agreement, which together with these Terms and Conditions constitutes the full agreement between EXPRE and the client.

EXPRE reserves the right to refuse service to any person or organisation at its discretion. We are not obligated to accept any enquiry or proceed with any project.

We may engage subcontractors and third-party suppliers in the delivery of our services. We remain responsible to the client for the delivery of the agreed services notwithstanding any subcontracting arrangements.

AI-Assisted Services

Where we use AI tools (including OpenAI, Anthropic Claude, Google AI, and similar services) in the delivery of your project, the following applies: AI-generated content is reviewed and edited by our team before delivery; we do not guarantee the accuracy of AI-generated outputs and final outputs are subject to client review and approval; we operate under enterprise agreements with AI tool providers that include data processing agreements and commitments that data is not used to train underlying models; and we minimise personal data in AI prompts in accordance with our data protection obligations.

The use of AI tools does not reduce our professional responsibility for the quality of deliverables. All outputs remain subject to the quality standards and acceptance criteria set out in the relevant Statement of Work.

Intellectual Property

Website content: All content on the EXPRE website, including text, images, logos, and code, is the property of EXPRE Digital Limited or is used under licence. You may not reproduce, distribute, or create derivative works from our content without express written permission.

Client deliverables: Upon receipt of full payment for a project, EXPRE assigns to the client the intellectual property rights in the specific deliverables created for that client, as described in the relevant Statement of Work. Third-party software, open-source components, and pre-existing EXPRE tools or frameworks incorporated into deliverables remain subject to their original licences, details of which will be provided on request.

EXPRE retains the right to reference completed work in its portfolio, case studies, and marketing materials unless the client has specified otherwise in writing prior to project commencement.

Confidentiality

Each party agrees to keep confidential any information disclosed by the other party that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure. This includes client business information, strategies, data, technical systems, and pricing.

Confidentiality obligations do not apply to information that is or becomes publicly available other than through a breach of these terms, information already known to the receiving party, or information that must be disclosed by law or court order.

These confidentiality obligations survive termination of the engagement for a period of three years.

Payment Terms

Payment terms are specified in the Statement of Work or Service Agreement for each engagement. Unless otherwise agreed, project work is invoiced at the milestone points specified in the project agreement. Invoices are due within 30 days of issue.

Late payment: Invoices not paid within 30 days may be subject to late payment interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 at the statutory rate (currently 8% above the Bank of England base rate). EXPRE reserves the right to suspend work on unpaid accounts until payment is received.

Disputed invoices: If you wish to dispute an invoice, notify us in writing within 14 days of the invoice date, specifying the basis of the dispute. Undisputed portions of an invoice remain due on normal terms.

Termination

Either party may terminate an engagement by providing written notice as specified in the relevant Statement of Work. In the absence of a specific notice period, 30 days' written notice is required.

Either party may terminate an engagement with immediate effect if the other party commits a material breach of these terms or the Statement of Work and fails to remedy that breach within 14 days of written notice, becomes insolvent or enters administration, or ceases to carry on business.

On termination, the client shall pay for all work completed and reasonable costs incurred up to the termination date. Where the client terminates without cause during a fixed-price project, EXPRE may retain a proportion of the project fee reflecting work completed plus reasonable wind-down costs, as set out in the Statement of Work.

Force Majeure

Neither party shall be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemic or epidemic, government actions, war, terrorism, industrial disputes not involving the affected party's own workforce, or failure of third-party infrastructure or services.

The affected party must notify the other as soon as reasonably practicable and take reasonable steps to minimise the impact of the force majeure event. If the event continues for more than 60 days, either party may terminate the engagement on written notice.

Limitation of Liability

EXPRE's liability to clients for any claim arising from the provision of services is limited to the total fees paid by the client for the specific services giving rise to the claim in the twelve months preceding the claim.

EXPRE is not liable for indirect, consequential, or special losses, loss of profit, loss of business, loss of revenue, loss of data, or loss of anticipated savings, except where such liability cannot be excluded by law.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under applicable law, including the Consumer Rights Act 2015 where that Act applies.

Data Protection

EXPRE processes personal data in accordance with UK GDPR and the Data Protection Act 2018. Our Privacy Policy at /privacy-policy/ sets out how we collect, use, and protect personal data in connection with our website and services.

Where EXPRE processes personal data on behalf of a client as a data processor, a Data Processing Agreement will be put in place as required by Article 28 UK GDPR.

Complaints

If you are unhappy with any aspect of our services, please contact your account manager in the first instance. If the matter is not resolved to your satisfaction, you may escalate it in writing to in**@******co.uk marked "Formal Complaint".

We will acknowledge your complaint within 5 business days and aim to provide a substantive response within 20 business days. We treat all complaints seriously and use them to improve our services.

Governing Law

These Terms and Conditions are governed by the law of England and Wales. Any disputes arising from these terms or from our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes in our services, legal requirements, or best practice. We will notify active clients of material changes. Continued use of our website or services following notification constitutes acceptance of the updated terms.
